Terms and Conditions – Spare Parts for Private Customers
Terms and conditions of sale and delivery for purchases of spare parts by private individuals.
1. General
1.1 These general terms and conditions of sale and delivery apply to all sales between Schou (hereinafter referred to as the “Seller”) and a consumer (hereinafter referred to as the “Buyer”), unless expressly derogated from by a separate written agreement.
2. Quotations and Order Confirmation
2.1 The Seller’s quotations are valid for 2 days, unless otherwise specifically agreed and confirmed in writing by the Seller.
2.2 The Seller shall be bound solely by the terms set out in the order confirmation.
3. Prices and Payment – Retention of Title
3.1 All sales shall be made at prices in Danish kroner applicable on the date of delivery. All prices include VAT, public taxes and duties of any kind, and packaging, but exclude transport. Prices shown in price lists are non-binding and may be changed at any time without notice.
3.2 Unless otherwise agreed, payment shall be made in full, without deduction, no later than upon delivery. If payment is not made by the due date, the Seller shall be entitled to terminate the purchase immediately and without further notice or to charge interest on overdue payments at a rate of 2% for each month or part thereof.
3.3 Title to the goods shall remain with the Seller in all respects until the purchase price and all other costs associated with the purchase have been paid in full by the Buyer.
4. Scope of Supply
4.1 The Seller’s obligations shall extend only to the goods and services specified in the order confirmation. The Seller undertakes to supply goods and services of customary good quality in terms of materials and workmanship.
5. Delivery Time and Place
5.1 All stated delivery times are approximate and non-binding, unless otherwise expressly agreed and confirmed in writing by the Seller.
5.2 Risk in the goods shall pass to the Buyer upon delivery.
6. Right of Withdrawal
6.1 The Buyer shall be entitled to withdraw from any purchase made through the Seller’s online store (right of withdrawal) in accordance with Chapter 4 of the Danish Consumer Contracts Act. However, the right of withdrawal shall not apply to purchases of goods manufactured to the Buyer’s specifications.
6.2 If the Buyer wishes to exercise the right of withdrawal, the Buyer must notify the Seller no later than 14 days after receiving the goods. Notification must be sent to the Seller’s address at Andreas Schous Vej 62, 6000 Kolding, Denmark, or by email to aftersales@schou.com.
6.3 Once the Buyer has notified the Seller of the intention to exercise the right of withdrawal, the Buyer must deliver or dispatch the goods to the Seller’s address at Andreas Schous Vej 62, 6000 Kolding, Denmark, within 14 days of that notification. The Buyer shall bear all costs associated with returning the goods to the Seller. When exercising the right of withdrawal, the goods must be returned in their original packaging and packed in the same manner as upon delivery.
6.4 Once the Buyer has notified the Seller of the intention to exercise the right of withdrawal, the Seller shall refund all amounts received from the Buyer without undue delay. This is, however, subject to the Seller having received the goods or the Buyer having provided evidence that the goods have been returned. To the extent that the value of the goods has diminished as a result of handling beyond what is necessary to establish their nature, characteristics and functioning, an amount corresponding to that diminished value shall be deducted from the refund. If the goods are not returned in their original packaging and packed in the same manner as upon delivery, any costs incurred by the Seller as a result shall be deducted from the refund.
7. Delay
7.1 Upon becoming aware of a delay, the Buyer must immediately notify the Seller in writing; otherwise, the Buyer shall lose any entitlement to make a claim arising from the delay. At the same time, the Buyer must grant the Seller a reasonable additional period of at least 14 days to fulfil its obligations.
7.2 If the Seller fails to deliver the goods within the additional period granted by the Buyer pursuant to clause 7.1, the Buyer shall be entitled to terminate the purchase by written notice to the Seller. If the delay concerns only part of a delivery, the Buyer may terminate the purchase only in respect of that part.
A complaint concerning goods or services may be submitted to the Centre for Complaint Resolution (Center for Klageløsning), Nævnenes Hus, Toldboden 2, 8800 Viborg, Denmark. Complaints may be submitted to the Centre for Complaint Resolution through the Nævnenes Hus Complaints Portal.
