Sales & Delivery Terms for the Purchase of Spare Parts by Private Individuals
1. General
1.1 These general terms and conditions of sale and delivery apply to all sales between Schou (hereinafter the “Seller”) and a consumer (hereinafter the “Buyer”), unless they are expressly derogated from by another written agreement.
2. Offers & Order Confirmation
2.1 The Seller’s offers are valid for 2 days unless otherwise specifically agreed and confirmed in writing by the Seller.
2.2 The Seller is bound solely in accordance with the content of the order confirmation.
3. Prices & Payment – Retention of Title
3.1 All sales are made at prices in Danish kroner applicable on the delivery date. All prices include VAT, public duties of any kind, and packaging, but exclude transport. Prices stated in price lists are non-binding and may be changed at any time without notice.
3.2 Unless otherwise agreed, payment shall be made net cash no later than upon delivery. If payment is not made on the due date, the Seller is entitled immediately and without further notice to cancel the purchase or charge default interest at 2% per commenced month.
3.3 Ownership of the sold goods remains in all respects with the Seller until the purchase price and all other costs related to the purchase have been effectively paid by the Buyer.
4. Seller’s Performance
4.1 The Seller’s performance includes only the goods and services specified in the order confirmation. The Seller undertakes to deliver a product of standard good quality with respect to materials and workmanship.
5. Delivery Time & Place for the Seller’s Delivery
5.1 All stated delivery times are approximate and non-binding unless otherwise expressly agreed and confirmed in writing by the Seller.
5.2 Responsibility for the delivered goods shall pass to the Buyer when the goods have been delivered.
6. Right of Withdrawal
6.1 The Buyer has the right to withdraw from any purchase made in the Seller’s online shop (right of withdrawal) in accordance with the provisions of Chapter 4 of the Danish Consumer Contracts Act. However, the right of withdrawal does not apply to the purchase of goods manufactured according to the Buyer’s specifications.
6.2 If the customer wishes to exercise the right of withdrawal, the customer must notify the Seller no later than 14 days after receipt of the goods. Notification must be given to the Seller’s address at Andreas Schous Vej 62, 6000 Kolding, or by e-mail to aftersales@schou.com.
6.3 Once the Buyer has notified the Seller of the intention to exercise the right of withdrawal, the Buyer must return or send the goods to the Seller’s address at [insert address] no later than 14 days thereafter. The Buyer bears all costs associated with returning the goods to the Seller. When exercising the right of withdrawal, the goods must be returned in their original packaging and packed as at the time of delivery.
6.4 Once the Buyer has notified the Seller of the intention to exercise the right of withdrawal, the Seller shall reimburse all amounts received from the Buyer without undue delay. This is, however, subject to the condition that the Seller has received the goods or that the Buyer has provided documentation that the goods have been returned. To the extent that the value of the goods has diminished as a result of handling other than what is necessary to establish the nature, characteristics, and functioning of the goods, an amount corresponding to the depreciation shall be deducted from the reimbursement. If the goods are not returned in their original packaging and packed as at the time of delivery, any costs incurred by the Seller as a result thereof shall be deducted from the reimbursement.
7. Delay
7.1 The Buyer must immediately submit a written complaint upon becoming aware of a delay; otherwise, the Buyer forfeits any claim arising from the delay. At the same time, the Buyer must grant the Seller a reasonable additional time limit of at least 14 days to fulfil its obligations.
7.2 If the Seller fails to deliver the goods within the additional time limit granted by the Buyer pursuant to clause 7.1, the Buyer is entitled, by written notice to the Seller, to cancel the purchase. If the delay concerns only part of a total delivery, the Buyer may cancel the purchase only with respect to the relevant part.
A complaint regarding a product or service may be submitted to the Danish Center for Complaint Resolution (Center for Klageløsning), Nævnenes Hus, Toldboden 2, 8800 Viborg. Complaints may be submitted to the Center for Complaint Resolution via the Complaints Portal of Nævnenes Hus.
